Merger with and into Iveco Group N.V. of New Business Netherlands Holding B.V.

Turin, 4th July 2022. Iveco Group N.V. (IVG) announces the beginning of the merger procedure (pursuant to Sections 2:309 of the Dutch Civil Code) with and into IVG of its fully owned subsidiary New Business Netherlands Holding B.V., a private company with limited liability (besloten vennootschap met beperkte aansprakelijkheid), having its official seat in Andelst, the Netherlands, and its office address at Wanraaij 9, 6673DM Andelst, the Netherlands, and registered with the trade register of the Netherlands Chamber of Commerce under number 76507203.

According to applicable law, the merger documentation has been filed with and is available for inspection at the Netherlands Chamber of Commerce, as well as posted at the corporate website www.ivecogroup.com. Subject to its creditors’ and shareholders’ rights, IVG – as absorbing company – intends to resolve upon the statutory merger by way of decision of the board of directors, instead of resolution by the general meeting. The completion of the merger is foreseen by the end of the year.

Prince Albert II also recalled that the club is organizing the Monaco Energy Boat Challenge from 4 to 9 July. All these initiatives are part of the Monaco Capital of Advanced Yachting, a project born in 2012 with the name of “Monaco Capital of Yachting,” a network brand whose aim is to consolidate the position of the Principality as a center of excellence in the yachting sector.

Philips completes cancellation of 8.8 million shares

Amsterdam, the Netherlands – Royal Philips (NYSE: PHG; AEX: PHIA) today announced that it has completed the cancellation of 8,758,455 of its shares. The cancelled shares were acquired as part of the EUR 1.5 billion share repurchase program for capital reduction purposes that was announced on July 26, 2021.

Philips’ current issued share capital amounts to EUR 177,863,016.40 representing 889,315,082 common shares. As communicated earlier, Philips intends to have 19,571,218 shares delivered through the early settlement of forward contracts (entered into as part of the same share repurchase program) and to cancel those as well, which would result in 869,743,864 issued common shares at year-end 2022 (2021: 883,898,969).

COVID-19: Two New Cases Reported

Cambodia’s Ministry of Health reported 2 new cases of the novel coronavirus (COVID-19), all of Omicron variant transmitted locally, according to its press release this morning.

The tally now jumped to 136,298, of which 133,206 have recovered and 3,056 have passed away.

The Kingdom began to report new cases of COVID-19 since June 29, 2022 after 52 days of zero infection.

Prime Minister Samdech Akka Moha Sena Padei Techo Hun Sen keeps urging his compatriots to continue carrying out the health safety rules, particularly the Three Dos, Three Don’ts, and to get the booster doses to avoid the family, community and institutional transmission.

The first COVID-19 case was found in Cambodia in late January 2020 in Preah Sihanouk province.

Finance Ministry, NBC Enhance Digital Verify Customer Documents

The Ministry of Economy and Finance and the National Bank of Cambodia (NBC) have reached a memorandum of understanding on electronic Know Your Customer (e-KYC) cooperation, aiming to enhance digital verification of customer documents in Cambodia.

The MoU was signed here on Monday between H.E. Kong Mary, Secretary of State at the Ministry of Economy and Finance and Secretary General of the General Secretariat of Digital Economy and Business Committee in Cambodia and H.E. Ms. Chea Serey, Director General of the NBC’s Central Banking.

The e-KYC capacities are to raise awareness and promote the use of new technologies and innovations, particularly to boost the use of e-KYC in the banking and finance sectors.

In the CamDigikey (Cambodia Digital Key) portal, there are ten Application Programming Interfaces such as face, name, gender, date of birth, etc. to enable the public and private sector connections.

“Opening wide connection in this form will open a new page for Cambodia’s step in the e-KYC framework through facilitating time reduction for customers’ identification checks and verification mechanism with government’s data,” read a statement.

At the function, both sides encouraged the private sector, particularly the financial institutions, to use the CamDigiKey and provide constructive feedback.

eKYC is a technology that enables an organisation to digitally verify customer documents against a previously verified database.

In Cambodia, common problems with eKYC include people using multiple forms of identification to apply for services and a lack of a digital standard for verifying identity.

The latest update of the CamDigiKey 2.0 app was also launched on the occasion.

CamDigiKey is a secure yet easy mobile application that is used to authenticate oneself digitally. By registering on CamDigiKey, users obtain a valid digital identity through which users can log into any Cambodian government portal for example Online Business Registration.
